1. Acceptance of Terms

By accessing or using LDB Africa's platform, website, or services ("Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and LDB Africa. If you do not agree with these Terms, you must not access or use our Services.

LDB Africa reserves the right to update or modify these Terms at any time. Continued use of the Services after any modification constitutes acceptance of the updated Terms.

2. Eligibility

To use LDB Africa's Services, you must:

• Be at least 18 years of age.

• Have the legal capacity to enter into binding agreements in your jurisdiction.

• Not be prohibited from using our Services under applicable law.

• Reside in a jurisdiction where our Services are available.

By using our Services, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Verification

To access most features of the LDB platform, you must create an account and complete identity verification (KYC). You agree to:

• Provide accurate, current, and complete information during registration.

• Maintain the accuracy of your information and update it as necessary.

• Keep your account credentials secure and not share them with any third party.

• Notify LDB immediately if you suspect unauthorised access to your account.

LDB reserves the right to suspend or terminate accounts that provide false or incomplete information, or that are used in violation of these Terms.

4. Permitted Use

You may use LDB's Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services for any illegal purpose or in violation of any applicable laws or regulations.

• Use the Services to facilitate money laundering, terrorist financing, fraud, or any other financial crime.

• Attempt to access accounts or systems without authorisation.

• Introduce any malicious software, viruses, or harmful code.

• Reverse engineer, decompile, or disassemble any part of the platform.

• Use automated means to access the platform without LDB's prior written consent.

5. Digital Asset Transactions

LDB Africa facilitates the movement and management of digital assets, including cryptocurrencies and stablecoins. You acknowledge that:

• Cryptocurrency and digital asset transactions are irreversible once confirmed on the blockchain. LDB is not able to reverse confirmed transactions.

• The value of digital assets is highly volatile and can fluctuate significantly. LDB does not provide investment advice.

• Transaction rates displayed on the platform are indicative and may differ at the time of execution.

• You are solely responsible for the accuracy of wallet addresses and transaction details you submit.

LDB is not liable for any losses arising from incorrect transaction details submitted by users.

6. Fees and Charges

LDB may charge fees for certain transactions and services. Fee information will be communicated to you before you confirm a transaction or service. We reserve the right to modify our fee structure with appropriate notice. Continued use of the Services after a fee change constitutes your acceptance of the new fees.

7. Compliance and Regulatory Obligations

LDB Africa operates in compliance with applicable laws and regulations, including anti-money laundering (AML) and know-your-customer (KYC) requirements. You agree to cooperate with LDB's compliance procedures, including providing information and documentation as required. LDB may suspend or restrict your account if it determines that compliance procedures require it.

8. Suspension and Termination

LDB reserves the right to suspend or terminate your access to the Services at any time, with or without notice, if:

• You violate these Terms or any applicable law.

• LDB determines that your account poses a security or financial risk.

• Required by applicable law or regulatory authority.

You may close your account at any time by contacting LDB support. Closing your account does not relieve you of any obligations incurred prior to closure.

9. Limitation of Liability

To the maximum extent permitted by applicable law, LDB Africa and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of profits, data, or digital assets.

LDB's total liability to you for any claim arising from the use of our Services shall not exceed the amount of fees paid by you to LDB in the three months preceding the claim.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. LDB does not warrant that the Services will be uninterrupted, error-free, or completely secure. LDB does not provide financial, investment, or legal advice. Nothing on the platform constitutes a recommendation to buy, sell, or hold any digital asset.

11. Intellectual Property

All content, trademarks, logos, and intellectual property on the LDB platform are owned by or licensed to LDB Africa. You may not use, reproduce, or distribute any LDB intellectual property without prior written permission.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise required by applicable law.
